QUALIFICATION
Must be a member in good standing with dues payments for upcoming year paid prior to December 31st of current year.
DIRECTOR'S DUTIES
Directors will:
- Act in the best interests of the Canadian Fence Association.
- Participate in discussions and decision-making.
- Keep Board discussions and confidential information private.
- Disclose any conflicts of interest and refrain from voting when a conflict exists.
- Review the Association's financial information and ask questions when needed.
- Serve on committees or special projects when requested.
- Support Board decisions once they have been made.
- Promote the Association and represent it professionally.
- Seek clarification from staff, legal counsel, the auditor, or fellow Board members whenever additional information is needed.
Board of Directors Meeting Participation:
- (6) Video Conference meetings per year – 2pm CT 3rd Tuesday every other month starting in February
- (1) In person meeting at the Annual Fence Summit
OPEN POSITIONS
There are 4 open positions on the Board of Directors for 2027. At the Annual General Meeting of Members. Members first elect the Directors to fill those positions.Once those positions have been voted on and the Board consists of both the newly elected and incumbent Directors, members elect its Officers, including the President and Vice-President, from among the current Directors.
President – must be a current or incumbent Director that is nominated for this role
Vice President – must be a current or incumbent Director that is nominated for this role
Secretary/Treasurer – open to anyone who submits an application to the Board (does not have to be a director). Will be decided by the newly elected and incumbent directors

TERMS
Directors serve a two-year term. Directors may be re-elected for additional terms if they continue to meet the qualifications outlined in the bylaws.
Officers serve a one-year term. Officers may serve up to two consecutive one-year terms in the same office.
PROCESS
Nomination/Application Submissions
Applications can be self-nominated or nominated by other members in good standing
No nominations or applications will be taken from the floor at the Annual General Meeting of the Members, all submissions must be completed online by December 31.
There must be a minimum of 4 members in good standing who submit applications.
Applications must be submitted online by December 31.
Application will be vetted by CFA staff to determine all criteria in accordance with the bylaws is met.
Elections
Name will be placed on the ballot, which will be presented to membership at the Annual General Meeting of Members at the Annual Fence Summit for votei need.
An election packet including a head shot and biography of each eligible candidate will be provided to the membership in advance of the AGM.
Once the ballot is presented, one representative of each member in good standing as of December 31st can vote.
Eligibility to Vote
Only members in good standing as of December 31st may vote at the meeting.
Each member company may choose a representative for their company to vote on behalf of the member company. Only 1 vote per member company.
There is no consideration of “parent” companies, just member companies.
There is no proxy voting. All voters must be present at the Annual General Meeting of Members at the Annual Fence Summit.
